Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and WardOrbit Ltd, a company incorporated in England and Wales with company number 14823910, whose registered office is at 123 Digital Quarter, Birmingham, B1 1AA, United Kingdom ("WardOrbit", "we", "us", or "our").
By accessing or using the WardOrbit website, mobile applications, or any related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
These Terms apply to all visitors, registered users, and subscription holders. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
Description of Service
WardOrbit is a family safety and digital wellbeing platform that provides parents and guardians with tools to:
- Monitor and manage screen time across child devices
- Set application usage rules and content filters
- Receive real-time alerts and safety notifications
- View device location (where enabled by the account holder)
- Generate detailed usage reports and insights
The Service operates via a parent account (accessible via web and mobile) and a lightweight companion application installed on child devices. The specific features available depend on your subscription plan.
WardOrbit reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable. We will endeavour to provide at least 30 days' notice of material changes that adversely affect paid subscribers.
Account Registration & Eligibility
Age Requirement: You must be at least 18 years of age to create a parent account. By registering, you represent and warrant that you are 18 or older.
Accurate Information: You agree to provide accurate, current, and complete information during registration and to update it as necessary. Providing false information, including misrepresenting your relationship to a child, is a material breach of these Terms.
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access.
One Account Per Family: Parent accounts are intended for use by a single family unit. You may not share your account credentials with individuals outside your household or use a single account to monitor families other than your own without purchasing an appropriate plan.
Account Transfer: You may not transfer your WardOrbit account to another person without our prior written consent.
Subscription Plans & Billing
Plans
WardOrbit offers the following subscription tiers:
- Free: Basic features for a single child profile on one device. No charge.
- Plus: Advanced features for up to 3 child profiles on up to 5 devices per child. Billed monthly or annually.
- Family Pro: Full feature access for up to 10 child profiles with unlimited devices, priority support, and advanced reporting. Billed monthly or annually.
Current pricing is available on our Pricing page. All prices are inclusive of applicable VAT where required.
Billing & Auto-Renewal
Paid subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. We will send a reminder email at least 7 days before annual renewals.
Payment is processed by Stripe, Inc. By providing your payment details, you authorise WardOrbit to charge the stated amount to your payment method on each billing date.
Price Changes
We may change subscription prices with at least 30 days' written notice to your registered email address. If you do not wish to accept the new price, you may cancel your subscription before the change takes effect.
Refund Policy
Monthly subscriptions: no refunds are issued for the current billing month.
Annual subscriptions: if you cancel within 14 days of purchase or renewal and have not made substantial use of paid features, you may request a pro-rated refund by contacting [email protected]. Refunds are at our discretion and do not affect your statutory rights as a UK consumer.
Taxes
You are responsible for any applicable taxes (other than those on our income) arising from your use of the Service. If we are required to collect taxes, they will be added to your invoice.
Acceptable Use Policy
By using WardOrbit, you agree to the following acceptable use obligations:
You must not:
- Use the Service to monitor any person without appropriate legal authority (for parents monitoring minor children in their care, this authority is implied by parental responsibility)
- Attempt to circumvent, disable, or interfere with any security feature of the Service
- Use the Service for commercial surveillance, stalking, harassment, or any unlawful purpose
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use automated scripts, bots, or scrapers to access the Service
- Resell, sublicence, or redistribute access to the Service without written authorisation from WardOrbit
- Upload or transmit viruses, malware, or any other harmful code via the Service
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorised access to another user's account or to WardOrbit's backend systems
Children's usage:
The companion application installed on a child's device must not be removed or disabled by the child without parental permission. WardOrbit is not liable for any harm resulting from a child circumventing parental controls.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, and may be referred to relevant law enforcement authorities.
Child Profiles & Parental Responsibility
WardOrbit is intended to assist parents and guardians in keeping children safe online. By creating a child profile, you confirm that:
- You have parental responsibility for or legal guardianship of the child in question
- You have obtained any necessary consents and disclosed to the child (in an age-appropriate manner) that their device usage may be monitored
- You will use the Service in a manner consistent with the child's best interests and applicable law
WardOrbit strongly encourages transparent communication with children about digital safety and monitoring. Our tools are designed to support healthy digital habits, not to enable covert surveillance. We recommend following the guidance set out in our Help Centre on age-appropriate monitoring.
You remain solely responsible for the safety and welfare of your children and for all decisions made based on information provided by the Service. WardOrbit's alerts, reports, and monitoring data are informational tools only and should not replace parental judgement.
Child profiles are linked to the parent account and cannot be transferred to another account without our support team's assistance.
Intellectual Property
All intellectual property rights in the Service, including but not limited to software, source code, algorithms, designs, trademarks, logos, text, graphics, and documentation, are owned by or licensed to WardOrbit Ltd. Nothing in these Terms transfers any ownership of intellectual property to you.
Subject to your compliance with these Terms, WardOrbit grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial family safety purposes.
The WardOrbit name, logo, and all associated brand assets are registered or unregistered trademarks of WardOrbit Ltd. You must not use any WardOrbit trademark without our prior written consent.
If you provide feedback, suggestions, or feature requests, you grant WardOrbit a perpetual, royalty-free, worldwide licence to use that feedback in any manner without obligation or compensation to you.
Privacy & Data Protection
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also acknowledge and agree to the practices described in the Privacy Policy.
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy sets out, among other things, what data we collect, how we use it, your rights as a data subject, and how to contact our Data Protection Officer.
You acknowledge that in using the Service to create child profiles, you are directing the collection of personal data relating to a third party (your child) and you accept responsibility for ensuring that you have the lawful authority to do so.
Disclaimers & Limitation of Liability
Service "As Is": The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, WardOrbit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
No Guarantee of Safety: WardOrbit is a monitoring and management tool. We do not guarantee that use of the Service will prevent harm to your child or that all online risks will be detected or blocked. Parents and guardians remain primarily responsible for their children's safety.
Service Availability: We do not guarantee uninterrupted or error-free access to the Service. We may carry out scheduled maintenance, which may result in temporary unavailability. We will endeavour to provide advance notice of planned downtime.
Limitation of Liability: To the fullest extent permitted by law, WardOrbit's total liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to WardOrbit in the 12 months preceding the event giving rise to the claim; or (b) £100 (one hundred pounds sterling).
In no event shall WardOrbit be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if WardOrbit has been advised of the possibility of such damages.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless WardOrbit Ltd and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or inability to use the Service
- Your violation of any provision of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights, including intellectual property or privacy rights
- Any claim that you created a child profile without lawful authority to do so
WardOrbit reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, in which case you agree to cooperate with WardOrbit in asserting any available defences.
Termination
By You: You may cancel your subscription and delete your account at any time from within your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for monthly plans.
By WardOrbit: We reserve the right to suspend or terminate your account immediately, without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, posed a risk to the security of the platform or other users, or if required by law.
Effect of Termination: Upon termination, your licence to use the Service ends immediately. Your account data will be handled in accordance with our Privacy Policy (see Section 6: Data Retention). Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Indemnification), 12 (Governing Law), and any other provisions that by their nature should survive, shall survive termination.
Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from these Terms or your use of the Service. If you are a consumer resident in another jurisdiction, you may also have rights under the mandatory laws of your country of residence, which we will not seek to override.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Changes to Terms
We may update these Terms from time to time to reflect changes in the law, our business practices, or the features of the Service. We will notify you of material changes by:
- Sending an email to your registered email address at least 14 days before the changes take effect, and/or
- Displaying a prominent in-app notification
Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the changes take effect.
